To the maximum extent permitted by law, ImpactHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, incurred by you or any third party, whether in an action in contract or tort, arising from:

Consequential Damages Exclusion

In no event shall our total liability to you for all damages exceed the amount paid by you, if any, for accessing our services during the six months prior to the claim, or one hundred thondese Yen, whichever is less.

Force Majeure

We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, epidemics, government actions, or telecommunications failures.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the courts of Tokyo, and you consent to the jurisdiction of such courts.

Dispute Resolution

In the event of any dispute arising from these terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue formal legal remedies in accordance with the governing law provisions above.

Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these terms. The remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices or agreements published on our website, constitute the entire agreement between you and ImpactHub concerning your use of our services and supersede all prior agreements and understandings.

Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. We will provide notice of material changes by posting the updated terms on our website with a new effective date. Your continued use of our services after such changes constitutes your acceptance of the modified terms.

Assignment

Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.
